The company grew from 150 employees to 400 when we started, and today it has 700. Projects included multiple acquisitions and divestitures, a 26-million-dollar facility, commercial development around the site, and operational streamlining to support growth.

We served as the front line for legal, tax, and corporate matters across every major project. Our work removed legal friction, allowing the client to focus on operations. The relationship evolved into an eleven-year role as general counsel and leadership within the company.

From First Purchase to Multi-Point Ownership

A first-time buyer arrived with years of savings but limited working capital. After closing, he had less than five thousand dollars and could not immediately cover fees. I stepped in, used my CPA background to take control of the closing statements, and coordinated with the lender and seller to close on time.

That transaction launched a long-term relationship. In five years, the client completed over a dozen transactions and became a multi-point, multi-brand dealer with legal systems in place.

Fast Closing On a Major Metro Opportunity

An existing dealer had a chance to buy a major metro store with investor backing. The deal required swift negotiations with the seller’s counsel, the lender’s counsel, and representatives from the manufacturer. I led negotiations, finalized a partnership agreement with the investor, and helped the client close in just over sixty days.

Protecting Growth for a Serial Entrepreneur

A serial entrepreneur regularly engaged us as he evaluated new business opportunities. Over time, we handled multiple acquisitions, resolved post-closing complications, and protected the client from potential long-term disputes.

In one instance, a disagreement after closing escalated to litigation. We stepped in, developed a legal strategy, and ultimately won dismissal of the claims in court. A dealership owner came to us after a previous sale fell through and a second attempt had stalled for over a year. The buyer struggled to finalize terms with a partner and was delayed in securing manufacturer approval.

We revived the deal by proposing a creative seller-financing structure and facilitating progress with all parties. When a last-minute dispute between the buyer and partner threatened closing, we led the resolution – salvaging the deal and achieving our client’s goal (i.e., to retire).

Today, we continue to support the client in real estate investments post-sale.
